Labuan ESR checker
Answer four questions about your Labuan entity and this tool tells you whether the economic substance requirements apply, what the minimum employee and expenditure levels are, and which tax rate follows.
Economic Substance Requirements Navigator
This is the decision tree our advisers use, built from the Labuan Business Activity Tax Act 1990 and its regulations, and maintained against each amendment. It takes about two minutes.
It gives you an indication, not advice. The classification of a business activity can be finely balanced, and the consequence of getting it wrong is the difference between 3%, 0% and 24%. Use it to understand your position, then talk to us before you rely on it.
Step 1 of 4
What kind of activity does the Labuan entity carry on?
Royalty and other income from intellectual property rights is a non-Labuan business activity and falls outside LBATA.

The four pathways
Which branch you land on is decided by your business activity — not by your company type, your turnover or your intentions. These are the four routes through the flowchart above.
Non-Labuan business activity
Under the ITA
- Applies when
- Royalty and other income derived from intellectual property rights.
- Substance requirement
- Economic substance requirements do not apply — the activity sits outside LBATA entirely.
- Outcome
- Taxed under Malaysia's domestic Income Tax Act 1967, not the Labuan regime. The Labuan preferential rates are not available.
Trading activity, listed in the Schedule
3% — or 24% if not met
- Applies when
- A trading activity that appears in the Schedule, so it is in scope for economic substance.
- Substance requirement
- At least 2 fit and proper full-time employees in Labuan and RM50,000 of annual operating expenditure in Labuan.
- Outcome
- Meet both and the 3% rate applies to net audited profit. Fail either and profits are taxed at a flat 24%. Audited accounts are required on both branches.
Non-trading — pure equity holding
0% — or 24% if not met
- Applies when
- An investment holding company that holds only equity participations, earning dividends and capital gains.
- Substance requirement
- Management and control exercised in Labuan, and RM20,000 of annual operating expenditure in Labuan. No full-time employee minimum on this branch.
- Outcome
- Meet both and the rate is 0%, and management accounts in the IRB's prescribed format are sufficient — no audit is required. Fail either and profits are taxed at a flat 24%, and audited accounts are required.
Non-trading — non-pure equity holding
0% — or 24% if not met
- Applies when
- An investment holding company that holds assets beyond pure equity, or earns other types of income.
- Substance requirement
- At least 1 fit and proper full-time employee in Labuan and RM20,000 of annual operating expenditure in Labuan.
- Outcome
- Meet both and the rate is 0%, and management accounts in the IRB's prescribed format are sufficient — no audit is required. Fail either and profits are taxed at a flat 24%, and audited accounts are required.
Audited accounts are required for every trading company, and for any entity that does not meet its substance requirements. A non-trading entity that does meet them needs only management accounts in the IRB's prescribed format. The classification of a business activity can be finely balanced, and it is the single decision that separates 3%, 0% and 24% — confirm it with us before you rely on it.
