Labuan company formation
A Labuan company can be incorporated in as little as three business days, but it must be done through a trust company licensed by Labuan FSA — which is what we are.

Every Labuan company is required by law to appoint a licensed Labuan trust company as its statutory agent, and to maintain a resident secretary and a registered office in Labuan. Those are not services you can buy from a general consultancy: only a licensed trust company can provide them.
HMR Konsultan holds that licence. We incorporate the company, provide registered office and resident secretary to your company, keep the statutory records, and handle the annual compliance that keeps the company in good standing — all from our own office in Labuan.

How incorporation works
Pre-assessment and name reservation
We check that your intended business activity is permitted and confirm whether it falls in scope for economic substance requirements — this determines your tax position, so it is settled first, not last. We then reserve the company name with Labuan FSA.
Due diligence
As a licensed trust company we are required to complete know-your-client checks on every beneficial owner, director and shareholder. We will tell you exactly which certified documents are needed.
Incorporation
We lodge the incorporation documents with Labuan FSA as your statutory agent. Minimum turnaround is three business days once documentation is complete.
Registered office and resident secretary
Your company is established at our Labuan office with a resident secretary appointed, satisfying two mandatory statutory requirements.
Tax registration and bank account
We obtain your Tax Identification Number and support your corporate bank account application with selected banks. Account opening is generally the longest step — plan for several weeks.
Ongoing compliance
We maintain the statutory records, prepare the annual return, coordinate the audit, and keep you ahead of filing deadlines and regulatory change.
What it costs
We publish the cost structure rather than a fixed package price, because the professional fee genuinely depends on your activity, ownership structure and substance obligations. The statutory fees below are set by Labuan FSA and are the same whoever you engage.
- First-year capital registration (Labuan FSA)
- USD 300 where paid-up capital does not exceed RM50,000
- Annual fee to Labuan FSA
- Payable annually, at a fixed fee of USD 1,000
- Registered office address and resident secretary
- Annual, from the trust company
- Audit
- Required for trading companies; billed by the audit firm
- Economic substance costs
- Where your activity is in scope, the full-time employee and operating-expenditure minimums are a real recurring cost — often the largest one
We confirm every statutory fee in writing before you commit — ask us for an all-in estimate for your specific activity.

Frequently asked questions
Can a foreigner own 100% of a Labuan company?
Yes. Labuan companies may be wholly foreign-owned, and there is no exchange control on Labuan business activities.
Do I need to use a trust company, or can I incorporate directly?
You must use one. Under the Labuan Companies Act 1990 a licensed Labuan trust company acts as the statutory agent for incorporation, and the resident secretary role can only be filled by a licensed trust company. Firms that advertise Labuan incorporation without a licence route the filing through a trust company like ours.
How long does the whole process take?
Incorporation itself takes a minimum of three business days once due diligence is complete. Corporate bank account opening takes considerably longer and is usually the critical path — allow several weeks.
Can a Labuan company do business with Malaysian residents?
Yes. A Labuan company may carry on any business that is lawful in Malaysia, in, from or through Labuan, and may deal with Malaysian residents and transact in Ringgit. Note that Sales and Services Tax and the Tax Deductibility Regulations apply where business is transacted with residents.
What tax will my company pay?
Labuan trading companies listed under the Schedule are taxed at 3% of net audited profit, and non-trading (investment holding) companies at 0% — but only if the economic substance requirements are met. A company in scope that fails those requirements is taxed at a flat 24%.
