A Labuan company is often presented as a way to hold assets at 0%. For shares and other equity investments that can be true, provided the economic substance requirements are met. For property, the picture is different, and it is one of the most common misunderstandings we see when prospects come to us with a structure already in mind.
Where the 0% comes from
The 0% rate belongs to Labuan business activity: specifically, the non-trading (investment holding) activity of a Labuan entity, taxed under the Labuan Business Activity Tax Act 1990 (LBATA). It is available only to activity that qualifies as a Labuan business activity in the first place, and only where the entity meets its economic substance requirements.
Why property outside Labuan does not qualify
Holding immovable property located outside Labuan, such as an office building in Kuala Lumpur, is not treated as a Labuan business activity. The income it produces therefore falls outside LBATA and is assessed under Malaysia's domestic Income Tax Act 1967 (ITA), at the ordinary rates.
That defeats the purpose of the structure. The Labuan entity still carries its incorporation and annual costs, its substance obligations and its filings, yet the tax benefit it was set up to deliver is not there.
What to do instead
- Start with the asset, not the jurisdiction. Where the asset sits and what income it produces decide which tax regime applies, not where the holding company is incorporated.
- Compare before you commit. If the property is elsewhere in Malaysia, set the Labuan structure against holding it directly or through a domestic company, with the full running costs of each.
- Review what you already have. If a Labuan entity already holds property outside Labuan, check how its income has been reported, and talk to us before the next filing.
Why we write about this
Labuan is a sound, substance-based jurisdiction, and for the right activity it is hard to beat. It is not the answer to every plan. This series, Beyond the Success Story: Perspectives on Labuan's Future, covers the cases where a Labuan structure does not do what people expect, drawn from what we see in practice, so you can plan around them before they cost you.
